Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the LodeIQ platform and services provided by LodeIQ Inc. (“LodeIQ,” “we,” “our,” or “us”). By creating an account or using our services, you agree to be bound by these Terms. If you do not agree, do not use LodeIQ.

1. Acceptance of Terms

By accessing or using the LodeIQ platform, you confirm that you have read, understood, and agree to these Terms, as well as our Privacy Policy. If you are using LodeIQ on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

LodeIQ is an AI-powered intelligence platform for the battery and EV supply chain. Our platform synthesizes information from open data sources and our proprietary knowledge graph to generate analytical reports covering trade flows, supply chain risks, regulatory developments, and market signals.

Reports are generated on demand using a credit-based system. Each report includes source citations, confidence scores, and provenance metadata.

3. Account Registration

To use LodeIQ, you must create an account by providing accurate and complete information, including your name, email address, and company name. You are responsible for maintaining the security of your account and for all activities that occur under it.

Each individual may maintain only one account. Accounts are non-transferable. You must notify us immediately if you suspect unauthorized access to your account.

4. Credit Membership Model

Access to LodeIQ reports is governed by a credit system. Credits are the unit of access—one credit generates one synthesis report from any engine and for any material.

  • Membership. Monthly memberships include a set number of credits per billing cycle. Unused credits roll over month to month, up to the maximum bank limit specified on our pricing page.
  • Credit packs. Additional credits may be purchased as single credits or multi-credit packs at the rates listed on our pricing page.
  • No refunds on used credits. Once a credit has been redeemed to generate a report, it cannot be refunded.
  • Expiration. Banked credits beyond the rollover cap may expire at the end of each billing cycle. Details are specified on our pricing page.

5. Trial Terms

New users receive 4 free credits valid for 30 days from account creation. Trial reports use the same synthesis engines, data sources, and quality standards as paid reports. No credit card is required for the trial.

Unused trial credits expire at the end of the 30-day window and are not convertible to paid credits. Trial access is limited to one per individual and one per organization.

6. Intellectual Property

Platform. LodeIQ and its underlying technology, including our ontology, synthesis engines, knowledge graph, data pipelines, user interface, and all related intellectual property, are owned by LodeIQ Inc. and protected by Canadian and international intellectual property laws.

Your queries. You retain ownership of the query text and parameters you submit to LodeIQ.

Generated reports. Reports generated by LodeIQ are licensed to you for your internal business use. You may share reports within your organization and with your professional advisors. You may not resell, redistribute, or publicly publish reports without prior written permission from LodeIQ.

7. Acceptable Use

You agree not to:

  • Scrape, crawl, or use automated tools to extract data from the platform without an API agreement
  • Resell, sublicense, or redistribute LodeIQ reports or data to third parties for commercial purposes
  • Attempt to reverse-engineer our synthesis engines, knowledge graph, or underlying algorithms
  • Use the platform for any unlawful purpose or in violation of any applicable laws
  • Interfere with or disrupt the platform's infrastructure or other users' access
  • Create multiple accounts to circumvent usage limits or trial restrictions
  • Misrepresent LodeIQ reports as your own original research without attribution

8. AI-Generated Content Disclaimer

LodeIQ reports are generated by artificial intelligence systems that synthesize information from open data sources. While we strive for accuracy and provide provenance citations and confidence scores with every report:

  • Reports are not investment advice. LodeIQ reports are informational only and should not be relied upon as the sole basis for investment, procurement, or other financial decisions.
  • Reports are not legal advice. Regulatory analysis provided by LodeIQ does not constitute legal counsel. Consult qualified legal professionals for compliance decisions.
  • Confidence scores are estimates. The confidence levels (HIGH, MEDIUM, LOW) attached to claims represent our system's assessment of data quality and source reliability. They are not guarantees of accuracy.
  • AI systems can produce errors. Despite our quality controls, AI-generated content may contain inaccuracies, omissions, or outdated information. Always verify critical claims through independent sources.

9. Data Accuracy

LodeIQ synthesizes intelligence from publicly available data sources including government databases, trade registries, regulatory filings, and industry publications. We invest significantly in data quality through provenance tracking, freshness monitoring, and confidence scoring.

However, we cannot guarantee the accuracy, completeness, or timeliness of all information in our reports. Source data may contain errors, may be delayed, or may be revised after publication. Provenance citations and confidence scores are provided so you can assess the underlying evidence and make informed decisions.

10. Limitation of Liability

To the maximum extent permitted by applicable law, LodeIQ Inc., its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of or inability to use the platform.

Our total aggregate liability for all claims related to the service shall not exceed the amount you paid to LodeIQ in the twelve (12) months preceding the event giving rise to the claim.

The platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

You may cancel your membership or delete your account at any time by contacting us. Upon cancellation, your membership will remain active until the end of the current billing period. Credits already in your account remain usable until they expire or your account is deleted.

We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or if we reasonably believe your use poses a risk to the platform or other users. We will provide notice where practicable.

Credits are non-refundable upon termination, whether initiated by you or by us due to a Terms violation.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or your use of LodeIQ shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on our platform at least 14 days before the changes take effect. Your continued use of LodeIQ after the effective date constitutes acceptance of the updated Terms.

If you do not agree with the updated Terms, you may close your account before they take effect.
